1、集团层面 / corporate

        a) 社员大会（Congress）vs股东大会

              (i) 制定公司的一般指导方针

              (ii) 一年至少开一次

              (iii) 由合作社代表组成，遵循“一股一票”原则。

        b) 常务委员会（Standing Committee) vs 执行委员会

              (i) 代表整个公司 / Represents the Corporation

              (ii) 监督大会所通过决定的执行情况 / Oversees the implementation of the decisions adopted by the Congress. 

              (iii) 命名总理事会主席，确认各部门总经理任命 / Appoints the President of the General Council and confirms the appointments of the general managers of the Divisions. 

              (iv) 每月举行一次会议 / Meets on a monthly basis.

              (v) 由各部门代表组成（由各部门管理委员会选出selected by their Governing Council) / Made up of representatives of the Divisions (selected by their Governing Council)

              (vi) 任期为四年 / The term is four years.  

              (vii) 从他的成员中选出主席，同时也担任国会主席 Elects its President from among its members, who also serves as the President of the Congress.

        c) 总理事会（General Council ) vs 总部董事会/ 

              (i) 公司的管理和协调机构 The Corporation’s management and coordination body

              (ii) 其职能包括：起草政策立场、鼓励和协调管理公司的经营活动，共享资源。Its functions include: drafting of policy positions, encouragement and coordination of the Corporation’s business activities, management of shared resources

              (iii) 主席由常务委员会任命 Its President is appointed by the Standing Committee. 

              (iv) 该机构还由各部门的总经理和蒙德拉贡中央服务办公室的两名经理组成。The body is also made up of the Divisions’ general managers and two managers from MONDRAGON’s Central Services office.

              (v) 每月举行一次会议 Meets once a month.

2、部门层面 / division

        a) 部门联合（如9个工业部门）

              (i) 工业委员会 Industrial Council 

                  由各工业部门总经理构成；是9个工业部门的协调机构；

                  发展和管理商业促进政策；负责协调公司的推广中心

        b) 每个部门

              (i) 全体大会 (General Assembly) vs 股东大会  / **最高权力机构

                  由合作社代表组成 Made up of representatives of its participating cooperatives. 

              (ii) 理事会 （Governing Council ） vs 子公司董事会  / **执行决策和监督机构

                  由合作社理事会的代表成员组成 Made up of representatives of the Governing Council of their home cooperatives

              (iii) 管理团队management team  / **日常运营和管理机构

                  由部门的总经理（副总经理）和合作社的总经理组成 Made up of the general manager of the Division (vice-president) and the general managers of the member cooperatives. 

        c)在部门层面合作社分享利润 At the Division level cooperatives share profits.

3、合作社层面 / cooperative

        a) 全体大会 (General Assembly) vs 股东大会  / **最高权力机构

              (i) 由合作社成员组成 Made up of the members of the cooperative.

              (ii) 一人一票 Each member has a vote.

              (iii) 一年一次会，（事先要举行情况介绍会）It meets at least once a year (Ordinary General Assembly). It is customary to hold informational meetings beforehand.

              (iv) 大会就以下问题通过决议

                  the prior year’s management 上一年度的管理

                  批准/不批准年度财务报表 approval/ disapproval of the annual accounts

                  如何分配利润和亏损 how to allocate profits or losses

                  新成员的初始财务捐献应该是多少 how much new members’ initial financial contribution should be 

                  其他代表机构成员的选举 the election of the members of the other representative bodies

        b) 理事会 （Governing Council ） vs 子公司董事会  / **执行决策和监督机构

              (i) 管理和代表合作社 to manage and represent the cooperative 

              (ii) 至少有三人组成composed of a minimum of three persons.

        c) 综合管理 （General Management） / **日常运营和管理机构

              (i) 合作社的最高执行机构Highest executive body in the cooperative.

              (ii) 决定日常事务Decides on the daily issues.

              (iii) 全职职位Full-time position.

              (iv) 定期向理事会提出报告，理事会有权授予或撤销其权力

              (v) Makes periodic reports to the Governing Council, which has the authority to confer and revoke its powers.

              (vi) 任命合作社的经理，从而组建完成管理团队Appoints the cooperative’s managers, thus completing the MANAGEMENT TEAM.

        d) 上诉委员会 （ Appeals Committee )  vs 人力资源部门；工会

              (i) 审查申诉、作出裁决、确保公正 Reviews sanctions that have been imposed on members by the Governing Council for serious or very serious infractions.

        e) 监察委员会 （Oversight Committee )  vs 监事会

              (i) 审查财务报表或账目；必要时提出对公司决议提出异议Reviews the accounts, if applicable; challenges corporate resolutions, when appropriate; 

              (ii) 监督选举过程 supervises the election processes.

              (iii) 成员达到100人时此机构设立是强制性的 It is compulsory as from 100 members in the cooperative.

              (iv) 至少有3人组成 Composed of a minimum of three persons

              (v) 监察委员会通常会涵盖“审计委员会”（Audit Committee)的核心职能，即主要负责审计合作社的年度财务报告。只有经其审计批准的财务报告才能提交社员大会讨论。

        f) 社会委员会 （Social Council ) vs 社会责任部门

              (i) 用于交流的机构 Body for communication.  

              (ii) 成员达到100人时此机构设立是强制性的 It is mandatory in MONDRAGON cooperatives with more than 100 members.  

              (iii) 成员在他们自己的工作社区中选举产生。Members are elected in their own work communities.

              (iv) 负责社会保障、工资制度、劳动卫生、职工福利等社会事务，并参与合作社管理。管理委员会或总经理拟决定的所有重大事项，须先通过社会委员会征求社员意见，社会委员会根据社员意见向管理委员会或总经理提出决策建议。建议未被采纳时，社会委员会还可以按照合作社章程决定是否将意见提交社员大会表决。

        g) 注：

              (i) 一旦选举，服务是强制的，不是补偿性的 If elected, service is mandatory and not compensated.

              (ii) 监察委员会通常任期四年，其他的任期四年，可以无限期延长；The terms of office are, in general, four years (for the Oversight Committee the term is usually three years). Terms can be renewed without limit.

              (iii) 非成员也可以参与管理职位、理事会、社会委员会等；A cooperative’s bodies are made up entirely of members (though the management positions and the Governing Council may employ non-members, and non-members participate in the Social Council).
